Terms of Service

Terms governing access to and use of PhorMind websites, applications, APIs, connectors, workspaces, and related services.

1. Agreement to These Terms

By accessing PhorMind websites, applications, APIs, connectors, workspaces, or related services, you agree to these Terms. If you use PhorMind on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

PhorMind helps teams connect business systems, index authorized knowledge, ask questions with source citations, manage chat history, run specialized agents, configure model providers, expose governed MCP tools, and maintain security controls such as tenant isolation, roles, groups, document ACLs, approvals, audit logs, and governance review queues.

3. Accounts and Workspaces

You must provide accurate account information, keep credentials confidential, and promptly report unauthorized use. Workspace administrators are responsible for invited users, tenant settings, connector scopes, model-provider configuration, data retention, billing choices, and compliance with internal policies.

4. Customer Content and Connected Systems

“Customer Content” means data, files, messages, prompts, metadata, connector output, agent instructions, tool payloads, feedback, and other material submitted to or processed by PhorMind for a workspace.

7. Third-Party Services

PhorMind may interoperate with third-party applications, identity providers, connector sources, model providers, payment processors, cloud services, and MCP servers. We are not responsible for third-party services, and your use of them is governed by the terms, permissions, settings, fees, and privacy practices of those providers.

8. Fees, Trials, and Subscriptions

Paid features, usage limits, seats, storage, connector access, and trial periods are described in the applicable plan, order, or in-product notice. You are responsible for charges, taxes, and usage generated by your workspace.

9. Ownership and Feedback

PhorMind and its licensors own the service, software, user interface, documentation, models, workflows, and related intellectual property, excluding Customer Content. If you provide feedback or suggestions, you grant us permission to use them without restriction or compensation.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms, support the service, comply with law, or as otherwise permitted in writing.

11. Suspension and Termination

You may stop using PhorMind at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay required fees, or if continued service would harm PhorMind, customers, users, or third parties.

12. Disclaimers

PhorMind is provided “as is” and “as available” to the maximum extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, and accuracy of AI outputs or retrieved content.

13. Limitation of Liability

To the maximum extent permitted by law, PhorMind will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost business, service interruption, or substitute services.

14. Indemnity

You will defend and indemnify PhorMind from claims, damages, liabilities, costs, and expenses arising from your Customer Content, connected systems, violation of these Terms, misuse of the service, or infringement of third-party rights.

15. Changes and Contact

We may update these Terms by posting a revised version with a new last updated date. Continued use of PhorMind after changes become effective means you accept the updated Terms. For questions, contact privacy@phormind.com.
